SOPTrack End-User License Agreement (EULA)
This End-User License Agreement (“Agreement”) is a legal agreement between OnTrack Automotive Solutions (“Licensor”) and the individual or entity (“Licensee”) who subscribes to or uses SOPTrack (“Software”). By installing, accessing, or using the Software, the Licensee agrees to be bound by the terms of this Agreement.

License Grant
1.1 License: Licensor grants the Licensee a limited, non-exclusive, non-transferable right to access and use the SOPTrack Software, including its features and templates, subject to the subscription plan selected.
The Licensee may not sublicense, sell, rent, or lease the Software.
1.2 User Limitations: The License is strictly limited to the number of users designated in the selected subscription plan, and usage cannot exceed this limit.

Subscription Plans
The Licensee subscribes to one of the following plans:
2.1 SOPTrack 10 User Monthly Plan
- Fee: $188.00 per month
- Term: 12-month minimum subscription
- Cancellation: Licensee may cancel after the initial 12 months with 30 days’ written notice.
2.2 SOPTrack 10 User Annual Plan
- Fee: $1,798.00 per year
- Term: 12 months, automatically renewing unless canceled
- Cancellation: Licensee may cancel at any time without a refund. The subscription will remain valid until the end of the term.
2.3 SOPTrack 20 User Monthly Plan
- Fee: $258.00 per month
- Term: 12-month minimum subscription
- Cancellation: Licensee may cancel after the initial 12 months with 30 days’ written notice.
2.4 SOPTrack 20 User Annual Plan
- Fee: $2,498.00 per year
- Term: 12 months, automatically renewing unless canceled
- Cancellation: Licensee may cancel at any time without a refund. The subscription will remain valid until the end of the term.
2.5 SOPTrack 40 User Monthly Plan
- Fee: $358.00 per month
- Term: 12-month minimum subscription
- Cancellation: Licensee may cancel after the initial 12 months with 30 days’ written notice.
2.6 SOPTrack 40 User Annual Plan
- Fee: $3,898.00 per year
- Term: 12 months, automatically renewing unless canceled
- Cancellation: Licensee may cancel at any time without a refund. The subscription will remain valid until the end of the term.
2.7 SOPTrack 70 User Annual Plan
- Fee: $4,498.00 per year
- Term: 12 months, automatically renewing unless canceled
- Cancellation: Licensee may cancel at any time without a refund. The subscription will remain valid until the end of the term.
2.8 SOPTrack 100 User Annual Plan
- Fee: $5,498.00 per year
- Term: 12 months, automatically renewing unless canceled
- Cancellation: Licensee may cancel at any time without a refund. The subscription will remain valid until the end of the term.

The Licensee has access to the following features:

- Unlimited Document and File Storage
- Collaboration Tools
- Approval & Progress Tracking
- Basic Process Templates
- Quickstart Demonstration
- Monthly Online Discussion Groups

Payment Terms
4.1 Monthly Payments: For monthly plans, the Licensee will be billed on the date of registration each month. Payments are due on the same date every month thereafter.
4.2 Annual Payments: For annual plans, the Licensee will be billed upfront for the 12-month period upon registration. Subsequent payments will be charged on the anniversary date of the initial subscription.
4.3 Invoicing: Invoices will be provided by OnTrack Automotive Solutions. Upon receiving the invoice, Licensee must choose a method of payment from the available options (we accept all major credit and debit cards). Licensee must then authorize future payments via the provided online payment page.
4.4 Late Payments: Failure to pay within 30 days of the due date may result in suspension or termination of access to the Software.

Termination & Renewal
5.1 Automatic Renewal: Annual plans will automatically renew unless written notice is provided 30 days prior to the renewal date.
Monthly plans will continue month-to-month after the 12-month term unless canceled by the Licensee with 30 days’ written notice.
5.2 Termination by Licensee:
- Monthly Subscriptions: The Licensee may terminate this Agreement with 30 days’ written notice after the initial 12-month period.
- Annual Subscriptions: The Licensee may cancel the subscription at any time. No refunds will be provided, and the subscription will remain active until the end of the current term.
5.3 Termination by Licensor: Licensor reserves the right to terminate the Agreement immediately if the Licensee breaches any material term of this Agreement, including non-payment or unauthorized use of the Software.

Limitations on Use
The Licensee agrees to use the Software only for lawful purposes and in accordance with this Agreement.
Licensee shall not:
- Reverse-engineer, decompile, or disassemble the Software.
- Remove any proprietary notices, labels, or branding from the Software.
- Reproduce, duplicate, copy, or sell the Software or any part of it without express written consent from Licensor.

Ownership and Intellectual Property
The Software and all intellectual property rights related to it are the exclusive property of Licensor.
Licensee acknowledges that no ownership rights are transferred by this Agreement.

Confidentiality
Both parties agree to keep confidential any proprietary information, including but not limited to Software details, pricing, and business operations.
Such information will not be shared or disclosed to third parties without express written consent unless required by law.

Limitation of Liability
Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to the use of the Software, including, but not limited to, loss of profits, data, or business opportunities.
Licensor’s liability under this Agreement shall not exceed the Subscription Fees paid by the Licensee in the 12 months preceding the event giving rise to the claim.

Warranty Disclaimer
The Software is provided “as is,” without warranty of any kind.
Licensor disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your State/Province], without regard to its conflict of law principles.

Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the use of SOPTrack and supersedes any prior agreements, written or oral, regarding the subject matter.

Modifications
Licensor reserves the right to modify or update the terms of this Agreement.
Any changes will be communicated to the Licensee, and continued use of the Software following the notice will constitute acceptance of the updated terms.
By clicking the “Agree” checkbox on the OnTrack Automotive Solutions online payment page, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this End-User License Agreement.
